Welcome to IIDE Online, an online learning platform to master in-demand digital skills. The IIDE Learning website (the ‘Site’), the educational services made available through the site and the content (the ‘Products’) are owned, operated and maintained, as applicable, by IIDE Education Private Limited (‘we’, ‘our’, ‘us’, or the ‘Company’). The Site, Products and Content are, collectively, the ‘Company Products’. ‘You’ refers to a user or a paying customer. If you are a company or another person who gives access to company products, you agree to take responsibility in full in case of damages or indemnification that could properly lie against the customer.

Terms of Use

  • By accessing any part of the Service, you are agreeing to the terms and conditions described below (these “Terms of Use”), the terms and conditions of our privacy policy (the “Privacy Policy”) and any other legal notices published by us on the Site (collectively, the “Governing Documents”). If you do not agree to any of these terms, you should not use the Site.
  • These Terms of Use apply to all users, including both users who are simply viewing content available via the Site and users who have registered as members of the Site.
  • We may, at our sole discretion, modify these Terms of Use at any time. By accessing the Site at any time after such modifications, you are agreeing to such modifications.
  • These Terms of Use were last modified as of May 17, 2020.

Description of Service

  • The Site allows students to find classes that they are interested in taking.
  • We reserve the right to refuse to provide the Products to any person for any reason and/or to discontinue the Site in whole or in part at any time, with or without prior notice.

Accounts

  • You need an account for most activities on our platform, including to purchase and enroll in a course or to submit a course for publication.
  • When setting up and maintaining your account, you must provide and continue to provide accurate and complete information, including a valid email address.
  • You have complete responsibility for your account and everything that happens on your account, including for any harm or damage (to us or anyone else) caused by someone using your account without your permission. This means you need to be careful with your password.
  • You may not transfer your account to someone else or use someone else’s account. If you contact us to request access to an account, we will not grant you such access unless you can provide us with the information that we need to prove you are the owner of that account.
  • You may not share your account login credentials with anyone else. You are responsible for what happens with your account and IIDE will not intervene in disputes between students or instructors who have shared account login credentials.
  • You must notify us immediately upon learning that someone else may be using your account without your permission (or if you suspect any other breach of security) by contacting our Support Team. We may request some information from you to confirm that you are indeed the owner of your account.
  • Students must be at least 16 years of age to create an account on IIDE and use the Site. If you are younger than 16 but above the required age for consent to use online services where you live (for example, 13 in the US), you may not set up an account, but we encourage you to invite a parent or guardian to open an account and help you enroll in courses that are appropriate for you.
  • If you are below this age of consent to use online services, you may not create an IIDE account.
  • If we discover that you have created an account that violates these rules, we will terminate your account.
  • In the event of the death of a user, the account of that user will be closed.

Course Enrollment and Lifetime Access

  • Summary: When you enroll in a course, you get a license from us to view it via the Site and no other use. Don’t try to transfer or resell courses in any way.
  • We grant you a lifetime access license, except when we must disable the course because of legal or policy reasons.
  • When you enroll in a course, whether it’s a free or paid course, you are getting a license from the Site to view the course via the Site, and the Company is the licensor of record. Courses are licensed, and not sold, to you.
  • This license does not give you any right to resell the course in any manner (including by sharing account information with a purchaser or illegally downloading the course and sharing it on torrent sites).
  • In legal, more complete terms, the Company grants you (as a student) a limited, non-exclusive, non-transferable license to access and view the courses and associated content for which you have paid all required fees, solely for your personal, non-commercial, educational purposes, in accordance with these Terms and any conditions or restrictions associated with a particular course or feature of our services.
  • All other uses are expressly prohibited. You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, sublicense, or otherwise transfer or use any course unless we give you explicit permission to do so in a written agreement signed by an IIDE authorized representative. This also applies to content you can access via any of our APIs.
  • We generally give a lifetime access license to our students when they enroll in a course. The lifetime access is applicable to add-on features and services associated with a course. For example, English subtitles and teaching assistance provided by course instructors (“trainers”). However, since the trainer evaluates all the assignments and quizzes, it may not always be possible for the trainer to reply in real-time to all questions or messages coming his/her way. The trainers are also not obligated to respond to messages and/or questions directed to them on social media platforms but may choose to do so. To be clear, the lifetime access is to the course content but not to the instructor.

Payments, Promotions, and Refunds

Pricing
  • We reserve the right, at any time, to change any fees or charges for using any services provided on the Site (or to begin charging fees for any free service), provided that such changes will not apply to fees or charges paid or free services used prior to the time of the change.
  • We regularly run promotions and sales for our courses and certain courses are only available at discounted prices for a set period of time. The price applicable to a course will be the price at the time you complete your purchase of the course (at checkout). Any price offered for a particular course may also be different when you are logged into your account from the price available to users who aren’t registered or logged in because some of our promotions are available only to new users.
  • If you are logged into your account, the listed currency you see is based on your location when you created your account. If you are not logged into your account, the price currency is based on the country where you are located. We do not enable users to see pricing in other currencies.
  • If you are a student located in a country where the use and sales tax, goods, and services tax, or value-added tax is applicable to consumer sales, we are responsible for collecting and remitting that tax to the proper tax authorities. Depending on your location, the price you see may include such taxes, or tax may be added at checkout.
Payments
  • You agree to pay the fees for courses that you purchase, and you authorize us to charge your debit or credit card or process other means of payment (such as Boleto, SEPA, direct debit, or mobile wallet) for those fees.
  • IIDE works with third-party payment processing partners to offer you the most convenient payment methods in your country and to keep your payment information secure. Check out our Privacy Policy for more details.
  • When you make a purchase, you agree not to use an invalid or unauthorized payment method. If your payment method fails and you still get access to the course you are enrolling in, you agree to pay us the corresponding fees within thirty (30) days of notification from us.
  • We reserve the right to disable access to any course for which we have not received adequate payment.
Refunds
  • If the course you purchased is not what you were expecting, you can request, within 7 days of your purchase of the course, a refund to your account. 
  • In case of a request for refund, you will be required to get on a call with our Academic Counselor (“Counselor”) to provide us with sufficient reason to support your refund claim. The final authority in this matter remains with us.
  • No refund is due to you if you request it after the 7-day guarantee time limit has passed. However, if a course you previously purchased is disabled for legal or policy reasons, you are entitled to a refund beyond this 7-day limit.
  • At our discretion, if we believe you are abusing our refund policy, such as if you’ve consumed a significant portion of a course that you want to refund or if you’ve previously refunded a course, we reserve the right to deny your refund, ban your account, and/or restrict all future use of the Services. If we ban your account or disable your access to a course due to your violation of these Terms or our Trust & Safety Guidelines, you will not be eligible to receive a refund.
  • These refund policies are not applicable to the 5-day Ecommerce Workshop.

Gift and Promotional Codes
  • IIDE or our partners may offer gifts and promotional codes to students. Codes may be directly redeemable for specific courses.
  • These codes, as well as any promotional value linked to them, may expire if not used within the period specified in your IIDE account.
  • Gift and promotional codes offered by IIDE may not be refunded for cash unless otherwise specified in the terms included with your codes or as required by applicable law.
  • Gift and promotional codes offered by a partner are subject to that partner’s refund policies.

Referral Progam

  • The referee i.e. your friend will also get a 10% discount on using your referral code.
  • The referrer i.e. you will get 10% discount coupon per successful referral.
  • You can refer as many friends as you want but can claim benefits for up to 10 referees per year.
  • There is no expiry to the referral URL or the referral code given to your friend (the referee) or earned by you ( the referrer)
  • Under our Referral Program, a successful referral is one where your friend (the referee) successfully purchases a course that is not refunded.
  • You will be given the discount code only if your friend (the referee) has mentioned YOUR REFERRAL CODE on the Cart Page while purchasing the course. Failure to do so will result in no referral benefits.
  • You (the referrer) or your friend (the referee) cannot club the referral code with any other coupon codes. In the case of two or more discount codes, the highest discount will be applied.
  • We reserve the right to suspend your account and remove referrals should we notice any activity we determine as abuse of the referral program.

Affiliate Program Agreement

  • The Affiliate Program Agreement applies to your participation in IIDE’s Affiliate Program (the “Affiliate Program”).
  • We periodically update these terms. We might also choose to replace these terms in their entirety if, for example, the Affiliate Program changes, ends, or becomes part of an already existing program. If we update or replace the terms we will let you know via electronic means.
  • Definitions
    1. “Affiliate Link” means the unique tracking link you place on your site or promote through other channels.
    2. “Referrals” means a customer prospect who clicks on the Affiliate Link that we have made available to you via the Affiliate Tool.
    3. “Payout/Commission” means an amount earned by you for each Customer Transaction.
    4. “Referral Transactions” means those transactions by Referrals where they make the payment after  using the Affiliate Link provided by the Affiliate.
  • Once you complete an application to become an Affiliate, we will review your application and notify you whether you have been accepted to participate in the Affiliate Program, or not.
  • Before we accept an application, we may want to review your application with you, so we may reach out to you for more information. We may require that you complete certain requirements or certification(s) before we accept your application.
  • If you are accepted to participate in the Affiliate Program, then upon notification of acceptance, the terms and conditions of this Agreement shall apply in full force and effect, until terminated, pursuant to the terms set forth below.
  • We will pay you a Commission/Payout for each new Referral who completes a Referral Transaction after clicking on an Affiliate Link made available by you, provided that you remain eligible to receive Commission/Payout pursuant to the terms of this Agreement.
  • The Commission/Payout will be processed in the last week of the next calendar month. If a Referral takes a refund, the Commission/Payout for the same will not be processed. More information on the Refund Policy is available above.
  • The start of the Customer’s subscription is determined by the date of the first purchase of the Subscription Service by the Referral and you will receive a Commission/Payout payment for that Referral Transaction only. The Affiliate will not be entitled to receive a Commission/Payout on any additional purchases of IIDE Products by that same Referral.
  • Eligibility.
    1. To be eligible for a Commission/Payout (i) an Affiliate must be accepted and valid in accordance with the ‘Acceptance and Validity’ section, (ii) a Customer Transaction must have occurred (iii)  a Customer must remain a customer seven (7) days plus in order to be eligible for a Commission. For example, a Customer who makes a purchase on the 15th of March must remain a customer until the 22nd of March in order to be eligible for a Commission.
    2. All transactions must occur on online.iide.co domain. Any transactions occurring on any other domains or subdomains will not be eligible for any Commission/Payout.
    3. You are not eligible to receive Commission or any other compensation from us based on transactions for products other than the 10-in-1 Mega Digital Marketing Bundle or if:
      1. The applicable Referral objects to or prohibits such compensation or excludes such compensation from its payments to us.
      2. The Referral has paid or will pay such commissions, referral fees, payouts or other compensation directly to the Affiliate. (Affiliate and Referral account might be suspended immediately in such a scenario)
      3. The Commission payment has been obtained by fraudulent means, misuse of the Affiliate Link, in violation of any Affiliate Program Policies that we make available to you or by any other means that we deem to breach the spirit of the Affiliate Program.
    4. In competitive situations where the Referral uses more than one (1) Affiliate Links, the Commission/Payout will be processed to Affiliate who’s Affiliate Link was last used i.e. the last Affiliate Link used right before making the transaction.
    5. We may discontinue Commission/Payout should any of the eligibility criteria set forth in this subsection fail to be met at any time.
  • Acceptance and Validity
    1. You will only be eligible for a Commission/Payout for any transactions that derived from Referrals generated by the Affiliate Link that we make available to you on the Affiliate Page.
    2. A Referral will be considered valid and accepted if, in our reasonable determination: (i) it is a new customer of ours, and (ii) is not one of our pre-existing customers, or involved in our active sales process. Notwithstanding the foregoing, we may choose not to accept the Referral in our reasonable discretion.
    3. If a Referral does not purchase the IIDE Product within 24 hours after first click on the Affiliate Link, you will not be eligible for a Commission payment, even if the Referral decides to purchase after the time period has expired.
    4. A Referral is not considered valid if they take a refund on the product purchased using the Affiliate Link. In such a case, no Commission/Payout will be processed to the Affiliate. More information on the Refund Policy is available above.
  • Engagement with Referrals
    1. Once we have received the Referral information, we may elect to engage with the prospect directly, regardless of whether or not the Referral is valid.
    2. If a Referral is not valid then we may choose to maintain it in our database and we may choose to engage with them later.
    3. Any engagement between IIDE and a Referral will be at IIDE’s discretion.
  • Term and Termination
    1. Term – This Agreement will apply for as long as you participate in the Affiliate Program until terminated.
    2. Termination Without Cause – Both you and we may terminate this Agreement on fifteen (15) days written notice to the other party.
    3. Termination for Agreement Changes – If we update or replace the terms of this Agreement, you may terminate this Agreement on seven (7) days written notice to us, provided that you send us written notice within ten (10) days after we send you notice of the change.
    4. Termination for Cause – We may terminate this Agreement:
      1. Upon fifteen (15) days notice to you of a material breach if such breach remains uncured at the expiration of such period.
      2. Immediately, if you breach any terms applicable to your Affiliate Application with us.
      3. Immediately, if we determine that you are acting, or have acted, in a way that has or may negatively reflect on or affect us, our prospects, or our customers.
    5. Upon termination or expiration, you will immediately discontinue all use of our trademark and references to this Affiliate Program from your website(s) and other collaterals & assets. For the avoidance of doubt, termination or expiration of this Agreement shall not cause a Referral’s subscription agreement to be terminated.

 IIDE’s Rights

  • Summary: We own the IIDE products, including the website, present or future apps and services, and things like our logos, API, code, and content created by our employees. You can’t tamper with those or use them without authorization.
  • All right, title, and interest in and to the Company Products and Services, including our website, our existing or future applications, our APIs, databases, and the content our employees or partners submit or provide through our Site are and will remain the exclusive property of IIDE and its licensors.
  • Our platforms and services are protected by copyright, trademark, and other laws of both India and foreign countries. Nothing gives you a right to use the IIDE name or any of the IIDE trademarks, logos, domain names, and other distinctive brand features.
  • Any feedback, comments, or suggestions you may provide regarding IIDE or the Site is entirely voluntary and we will be free to use such feedback, comments, or suggestions as we see fit and without any obligation to you.

You may not do any of the following while accessing or using the Company Products:

  • Access, tamper with or use non-public areas of the platform (including content storage), IIDE’s computer systems, or the technical delivery systems of IIDE’s service providers.
  • Disable, interfere with, or try to circumvent any of the features of the platforms related to security or probe, scan, or test the vulnerability of any of our systems.
  • Copy, modify, create a derivative work of, reverse engineer, reverse assemble, or otherwise attempt to discover any source code of or content on the Site.
  • Access or search or attempt to access or search our platform by any means (automated or otherwise) other than through our currently available search functionalities that are provided via our website, mobile apps, or API (and only pursuant to those API terms and conditions). You may not scrape, spider, use a robot, or use other automated means of any kind to access the Site.
  • In any way use the Site to send altered, deceptive, or false source-identifying information (such as sending email communications falsely appearing as IIDE); or interfere with, or disrupt, (or attempt to do so), the access of any user, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the platforms or services, or in any other manner interfering with or creating an undue burden on the Services.

Miscellaneous Legal Terms

  • Summary: These Terms are like any other contract, and they have boring but important legal terms that protect us from the countless things that could happen and that clarify the legal relationship between us and you.
Binding Agreement
  • Any version of these Terms in a language other than English is provided for convenience and you understand and agree that the English language will control if there is any conflict.
  • These Terms (including any agreements and policies linked from these Terms) constitute the entire agreement between you and us.
  • If any part of these Terms is found to be invalid or unenforceable by applicable law, then that provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms will continue in effect.
  • Even if we are delayed in exercising our rights or fail to exercise a right in one case, it doesn’t mean we waive our rights under these Terms, and we may decide to enforce them in the future. If we decide to waive any of our rights in a particular instance, it doesn’t mean we waive our rights generally or in the future.
  • The following sections shall survive the expiration or termination of these Terms: Sections 5 (Course Enrollment and Lifetime Access), 8 (IIDE’s Rights), 9 (Miscellaneous Legal Terms), and 10 (Dispute Resolution).
Disclaimers
  • It may happen that our platform is down, either for planned maintenance or because something goes down with the site. It may happen that one of our instructors is making misleading statements in their course. It may also happen that we encounter security issues. These are just examples. You accept that you will not have any recourse against us in any of these types of cases where things don’t work out.
  • In legal, more complete language, the Site, and the content are provided on an “as is” and “as available” basis. We (and our affiliates, suppliers, partners, and agents) make no representations or warranties about the suitability, reliability, availability, timeliness, security, or lack of errors, and expressly disclaim any warranties or conditions (express or implied), including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
  • We (and our affiliates, suppliers, partners, and agents) make no warranty that you will obtain specific results from the use of the Site. Your use of the Site is entirely at your own risk. Some jurisdictions don’t allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
  • We may decide to cease making available certain features of the Site at any time and for any reason. Under no circumstances will IIDE or its affiliates, suppliers, partners, or agents be held liable for any damages due to such interruptions or lack of availability of such features.
  • We are not responsible for delay or failure of our performance of any of the Site caused by events beyond our reasonable control, like an act of war, hostility, or sabotage; natural disaster; electrical, internet, or telecommunication outage; or government restrictions. Limitation of Liability
  • There are risks inherent to using our Site, for example, if you enroll in a Facebook marketing course, and you don’t get your desired results. You fully accept these risks and you agree that you will have no recourse to seek damages against even if you suffer loss or damage from using our platform and Site.
  • In legal, more complete language, to the extent permitted by law, we (and our group companies, suppliers, partners, and agents) will not be liable for any indirect, incidental, punitive, or consequential damages (including loss of data, revenue, profits, or business opportunities, or personal injury or death), whether arising in contract, warranty, tort, product liability, or otherwise, and even if we’ve been advised of the possibility of damages in advance.
Indemnification
  • If you behave in a way that gets us in legal trouble, we may exercise legal recourse against you.
  • You agree to indemnify, defend (if we so request), and hold harmless IIDE, our group companies, and their officers, directors, suppliers, partners, and agents from and against any third-party claims, demands, losses, damages, or expenses (including reasonable attorney fees) arising from (a) the content you post or submit, (b) your use of the Services (c) your violation of these Terms, or (d) your violation of any rights of a third party.
  • Your indemnification obligation will survive the termination of these Terms and your use of the Services.
Governing Law and Jurisdiction
  • These Terms are governed by the laws of India without reference to its choice or conflicts of law principles.
  • Where the “Dispute Resolution” section below does not apply, you and we consent to the exclusive jurisdiction and venue of federal and state courts in Mumbai, Maharashtra (India).
Legal Actions and Notices
  • No action, regardless of form, arising out of or relating to this Agreement may be brought by either party more than one (1) year after the cause of action has accrued.
  • Any notice or other communication to be given hereunder will be in writing and given by registered or certified mail return receipt requested, or email (by us to the email associated with your account or by you to learnonline@iide.co).
Relationship Between Us
  • You and we agree that no joint venture, partnership, employment, contractor, or agency relationship exists between us.
No Assignment
  • You may not assign or transfer these Terms (or the rights and licenses granted under them).
  • For example, if you registered an account as an employee of a company, your account cannot be transferred to another employee. We may assign these Terms (or the rights and licenses granted under them) to another company or person without restriction.
  • Nothing in these Terms confers any right, benefit, or remedy on any third-party person or entity. You agree that your account is non-transferable and that all rights to your account and other rights under these Terms terminate upon your death.
Dispute Resolution
  • You agree that any legal lawsuit or other action brought by IIDE, you or any third party to enforce these Terms shall be subject only to the jurisdiction of the courts of Mumbai.
  • Where a dispute arises, the parties involved shall make all reasonable efforts to resolving the dispute through good faith negotiations. Our Support Team is happy to help resolve the issue.
  • If efforts to amicably resolve any dispute or claim between the parties are unsuccessful, then such dispute or claim arising out of or in connection with the Terms, including any question regarding its existence, validity or termination, shall be referred to arbitration under the Arbitration and Conciliation Act, 1956, as amended (“Act”) before a sole arbitrator to be appointed by IIDE.
  • The proceedings shall be conducted in English and the seat for arbitration shall be Mumbai.
Updating These Terms
  • From time to time, we may update these Terms to clarify our practices or to reflect new or different practices (such as when we add new features), and IIDE reserves the right in its sole discretion to modify and/or make changes to these Terms at any time.
  • If we make any material change, we will notify you using prominent means, such as by email notice sent to the email address specified in your account or by posting a notice through our Site. Modifications will become effective on the day they are posted unless stated otherwise.
  • Your continued use of our Site after changes become effective shall mean that you accept those changes. Any revised Terms shall supersede all previous Terms.
